This Terms of Use ("Terms") outlines the conditions under which you access and use our website, software, and related services (collectively, the "Services") and ensure smooth and efficient collaboration. 

By accessing or using our Services, you agree to comply with these Terms and our Privacy Policy, constituting a binding agreement between you and Unwink (LLC "UNWINK AI TECHNOLOGIES").
When using Unwink on behalf of a legal entity, please ensure you have the authority to represent that organization in accepting these Terms. Doing so confirms that you have read, understood, and are willing to adhere to these Terms, our Privacy Policy, and any related policies. Usage of Unwink also encompasses our Acceptable Use Policy, which highlights the activities that are not permitted, such as unauthorized access, data scraping, or improper use of the platform. We appreciate your cooperation in maintaining a positive and secure user environment.

We are committed to transparency and providing all users a secure and seamless experience. Our Terms detail your rights and responsibilities when using Unwink, including important information about our liability limits, user obligations, and data protection practices that align with applicable regulations.

USE OF SERVICE

‍Unwink offers two primary modes of engagement:

Enterprise-Level Approach: Tailored for large organizations seeking a comprehensive, customizable feedback processing solution. Enterprises typically begin with a demo session, during which they provide their data (after signing an NDA) in a format such as Excel. Unwink then integrates this data into its AI system, delivering detailed, customizable insights based on client specifications. Enterprises can access results via the Unwink platform or through direct integration with their feedback systems, ensuring seamless delivery of analyzed feedback.

Individual Customer Service or a self-service option. Customers log in to the Unwink platform via the website or mobile application, upload their data or connect through API, and immediately receive analytical insights based on selected parameters.

This document guides the terms and conditions governing using Unwink's services, both for enterprise and individual clients.

Unwink will make commercially reasonable efforts to ensure that the Services are available 24 hours a day, 7 days a week. However, there may be times when the Services are interrupted for maintenance, upgrades, emergency repairs, or due to issues with telecommunications or equipment, or similar causes. Unwink will take reasonable steps to minimize such disruptions when they are within Unwink's control. Unwink will not be held liable to you or any other party for any suspension, modification, discontinuance, or unavailability of the Services, your Data, or other content.

Platform usage rules.

‍1. Permitted Use: Unwink services are intended for use in your business, education or scientific context. You may leverage the platform to analyze feedback data, generate insights, and enhance decision-making within these domains.

2. Prohibited Activities: You must not engage in unlawful or harmful activities while using the Unwink services, which include, but are not limited to:
- Violating any applicable laws or regulations.
- Using the platform for fraudulent, deceptive, or malicious purposes.
- Infringing upon the intellectual property rights of others.

3. Data Integrity: All data provided to Unwink must be lawfully obtained and used. Users are responsible for ensuring the accuracy and legality of the data they submit.

4. Account Security: You must protect your login credentials.

5. Respect for Platform Integrity: You must not attempt to hack, alter, or misuse the Unwink platform in any way that could impair its functionality or compromise the security of other Users.

Restrictions and prohibitions (e.g., misuse, spamming).
When using Unwink services, Users must adhere to the following restrictions and prohibitions to ensure the integrity, security, and lawful use of the platform:

1. Misuse of Services: Users are prohibited from:

- Attempting to gain unauthorized access to Unwink's systems, other users' accounts, or any restricted platform areas.
- Tampering with, hacking, or altering any part of the Unwink platform, its software, or its underlying infrastructure.
- Using automated systems such as bots, spiders, or scrapers to access or manipulate data without explicit permission.

2. Spamming and Unsolicited Communications: Users must not:

- Use the platform to send unsolicited messages, promotions, advertisements, or spam.
- Collect or harvest personal data from other Users without their consent for spamming or marketing.

3. Illegal and Harmful Activities: Users must not:

- Use the platform for any illegal activities, including but not limited to fraud, identity theft, or distribution of malicious software (e.g., viruses or malware).
- Upload, store, or transmit any data or content that is unlawful, offensive, defamatory, discriminatory, or infringes on the rights of others.
- Facilitate or encourage any activity that promotes hate speech, violence, or harm to any individual or group.

4. Intellectual Property Violations: Users are prohibited from:

- Uploading, distributing, or using any content that violates the intellectual property rights of third parties, including copyrights, trademarks, or trade secrets.
- Reproducing, duplicating, or exploiting any part of the Unwink services for commercial purposes without prior written consent from Unwink.

- Engage in activities that could disrupt, damage, or interfere with the proper functioning of the platform, such as overloading the system with excessive requests or using the platform in ways it was not intended to be used.
- Impersonate others or misrepresent their affiliation with any person or entity.

By complying with these restrictions, You help maintain a safe, lawful, and productive environment for all Unwink users. Violations of these prohibitions may result in account suspension, termination, or legal action.

PAYMENTS

Payment and Subscription
Currently, Unwink does not support online payments via the app or website. If you wish to purchase access to our software or services, please reach out to us at legal@unwink.ai. Our team will provide you with detailed information about pricing, available payment methods, and service terms. All payments and subscription details are arranged individually to ensure the most convenient conditions for each client.

Since all payment and subscription terms are discussed individually, the refund policy and cancellation terms may vary according to your needs. When contacting us to discuss a subscription, we will provide full information on any potential refund options or termination policies, as applicable to your specific arrangement.

Subscription Termination
Clients may terminate their subscription to Unwink services at any time by contacting us at legal@unwink.ai. We will review your request and assist with the termination process, including any applicable refund terms, which may depend on the individual agreement. Unwink reserves the right to discontinue services if there is a violation of any terms in this Agreement or under other circumstances that require the termination of platform access.

User rights and responsibilities
‍Only authorized Users may access or use the Unwink Services. Users must keep their login credentials confidential and not share them with others. The Customer is accountable for ensuring that its Users comply with this Agreement and for any actions taken through their accounts (except in cases of misuse resulting from Unwink's breach of this Agreement). The Customer must promptly notify Unwink if they become aware of any compromise to their User login credentials. Unwink handles User account information through its Privacy Policy.The Customer may assign a User as an administrator with control over the Customer's Unwink Service account, including the ability to manage Users and Customer Content, as outlined in the Documentation. The Customer is fully responsible for selecting its administrators and their actions within the account.

Intellectual Property
‍Unwink is the exclusive owner of all rights, title, and interest in and to the Services, including all associated intellectual property. 

While you are granted a limited, non-exclusive, non-transferable, revocable right to access and use the Services for these purposes, you are not permitted to:
- Copy, store, or reproduce any part of the Services, except as required for your internal business, educational, or scientific use.
- Modify, publish, distribute, sell, or create derivative works from any part of the Services without written consent from Unwink or the appropriate copyright holder.

All trademarks, service marks, and trade names displayed within the Services are proprietary to Unwink or relevant third parties. You must comply with all copyright notices and restrictions as provided within the platform.

You are prohibited from attempting to bypass any security or technical measures in place or from decompiling, reverse engineering, or disassembling the Services, except as expressly permitted by law.
Unwink retains the right to use analytical insights and statistics derived from the analysis of client data for any purpose, including but not limited to improving the Services, conducting research, and developing new features. This usage may involve aggregating and anonymizing data to ensure that it cannot be traced back to any individual user or specific client.
However, Unwink will not utilize any of your commercial information, trade secrets, or personal data in these insights. Your proprietary data remains confidential, and Unwink is committed to maintaining the privacy and security of your information in accordance with its Privacy Policy. This provision allows Unwink to enhance its offerings while safeguarding the integrity and confidentiality of your data.

Ownership of Data and AI Analysis Results
The data you provide to Unwink and the results generated from the AI analysis of that data remain your sole and exclusive property. Unwink does not claim ownership rights over the data you upload or the insights produced by the platform's AI systems.
You retain complete control over how you use and manage the results, and Unwink's role is solely to facilitate the analysis of your data. Unwink will not use, distribute, or disclose your data or the analysis results except as necessary to provide the Services or as required by law.
This ensures that both the data and the insights derived from it are securely maintained under your ownership for your use in business, educational, or scientific contexts.

Privacy and Data Protection

Limitation of Liability

Unwink’s liability for any claims arising out of or relating to the use of the Services shall be limited to the maximum extent permitted by law. Any damages for which Unwink may be found liable must be determined by a court of competent jurisdiction and shall not exceed the specified limits. For individual customers, Unwink’s total liability shall not exceed an amount equal to two times the subscription price paid during the term in which the claim arose. For enterprise customers, Unwink’s liability shall be limited to the amount paid for the Services during the two months preceding the claim.

No Consequential Damages: In no event shall Unwink be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from the use or inability to use the Services, even if Unwink has been advised of the possibility of such damages.

Indemnification: You agree to indemnify, defend, and hold harmless Unwink and its affiliates, licensors, and service providers from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of this Agreement, or your infringement of any intellectual property or other rights of any person or entity.

Force Majeure: Unwink shall not be liable for any failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, and governmental actions.

Compliance with Laws: Both parties agree to comply with all applicable laws and regulations in connection with their use of the Services.

Termination of User Access for Violations

‍Unwink reserves the right to suspend or terminate your access to the Services immediately and without prior notice if you violate any terms of this Agreement or engage in conduct that Unwink deems harmful, inappropriate, or unlawful. This includes any failure to comply with the terms outlined in this Agreement, misuse of the Services, participation in illegal activities, or failure to meet payment obligations.

Upon termination, you will lose access to the Services, and any data associated with your account may be deleted by Unwink's data retention policies. You may also be held responsible for any damages from your Agreement violations. Unwink's right to terminate access is in addition to any other remedies available under law or in equity.
